Yes, that's a drawback. But if a corporation breaks the law, surely at 
least one of the corporate officers has broken the law?

Unfortunately, these things are usually structured so that no one person
has clearly violated the law to the point where it's blatantly obvious
to even the standard US jury.  One person signs off on the books because
the other person says they're OK, and the books *look* OK.  Somebody else
accidentally didn't follow the latest IRS guidelines on accelerated
depreciation of certain capital assets used in undersea mining.  And
yet another guy processed the purchase orders for the mining gear and
entered it into his departmental books in a different way, also inconsistent
with the IRS guidelines.

Next thing you know, $20M of money has been laundered out through the
vendor of the mining gear....
