I am not sure if these will match all your requirements; you may have
to tweak your process a bit. Though not a user myself i have heard
many good things about:

a) http://www.cyber-ark.com/digital-vault-products/enterprise-password/features.asp
b) http://www.manageengine.com/products/passwordmanagerpro/index.html

Most of the times you find some of your requirements missing in
products; but it is best to do a POC and decide.
