MSTask.exe is Task Scheduler, the program for scheduling tasks for
later/periodic execution.
taskmgr.exe is Task Manager. It helps monitor system resources and
manage running programs and services 
The reg. key you mentioned refers to last. This policy disables for
users ability to run Task Manager, not Task Scheduler. If you do not use
task scheduler, I would suggest stopping "Task Scheduler" and set
startup type for it to manual or disabled. This can be done by running
services.msc from 'Run...' box.

Port 1025 in Windows XP/2K is open by default.
It is not network/blackjack even tho most port lists will tell you
that it is. It is MSTask.exe that is listening on that port.

afaik you can disable this by going to the following registry key.
HKCU\Software\Microsoft\Windows\CurrentVersion\Policies\System
Add a REG_DWORD named DisableTaskMgr and set the value to 1 to disable
the
task manager.
Edit the registry at your own risk.

MSTask.exe is indeed used AV.
