Could I replace a Ms-Proxy with a FW-1

In despite of their action over the OSI level, what are the 
differences between a proxy server and  a statetul inspection 
firewall ? Can I replace a MS-proxy 2.0 for a CheckPoint Firewall-1? 
What I'd win? What I'd lost? Both of then have the same 
funcionalities ?
