I'm not sure if this meets all of your requirements, but definitely 1 & 4.
We've been having a lot of luck with filelocker2, which was developed at
Purdue University.

http://filelocker2.sourceforge.net/

It has been really catching on here, and people are using it for all types
of things.  The price is right and it is easy to evaluate, anyway.
